Terms of Service.

1. Platform Nature

SendGlobe is a Commercial Certainty Infrastructure platform operated by Automation Partners AI LLC.

Commercial Certainty Infrastructure is a framework that operates between agreement formation and settlement execution. The purpose of Commercial Certainty Infrastructure is to reduce Commercial Uncertainty by creating a standardized process for qualification, commitment, verification, and outcome determination.

SendGlobe enables counterparties to establish Commercial Readiness, define expectations, establish conditions, secure commitments, record Verification Outcomes, and determine Settlement Eligibility according to predefined workflow rules.

By accessing or using the platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

2. What SendGlobe Does Not Do

SendGlobe does not:

• ×hold funds;
• ×receive funds;
• ×move funds;
• ×custody assets;
• ×operate payment rails;
• ×act as an escrow provider;
• ×act as a trustee;
• ×act as a financial institution;
• ×provide banking services;
• ×exercise discretionary authority over settlement decisions.

Settlement Eligibility is a workflow status reached when predefined conditions established by counterparties have been satisfied. Settlement Eligibility does not constitute movement of funds, transfer of assets, custody of property, or settlement execution by SendGlobe.

3. Eligibility & Access

Commercial Readiness is the verified state achieved before a Commercial Agreement proceeds. Commercial Readiness may include identity verification, sanctions screening, compliance review, eligibility review, and funding verification.

You must meet applicable qualification requirements to access the platform. Qualification requirements may vary depending on jurisdiction, participant type, commercial activity, and applicable requirements.

Access to the platform may be restricted or unavailable based on legal requirements, regulatory obligations, sanctions requirements, or operational considerations. SendGlobe may update eligibility requirements at any time.

4. Counterparty Responsibilities

Counterparties remain responsible for defining conditions, defining deliverables, defining acceptance requirements, and performing contractual obligations.

You are responsible for the accuracy and completeness of all information you provide through the platform, including conditions, deliverables, and acceptance requirements established in any Commercial Agreement.

SendGlobe records Commercial Agreements and records Verification Outcomes based on information provided by counterparties and applicable workflow rules. SendGlobe does not independently verify the commercial substance of conditions or deliverables defined by counterparties.

5. Independent Settlement Infrastructure

Independent Settlement Infrastructure remains responsible for custody, account management, payment rail operation, movement of funds, and settlement execution.

Settlement execution occurs within Independent Settlement Infrastructure operating separately from SendGlobe. SendGlobe does not control and is not responsible for the operations, terms, or conditions of Independent Settlement Infrastructure.

Your use of Independent Settlement Infrastructure is governed by the separate terms and conditions of those providers. You are responsible for understanding and complying with those terms.

6. Compliance Obligations

You agree to use the platform only for lawful purposes and in compliance with all applicable laws, regulations, and requirements in your jurisdiction.

Commercial Readiness may include review against OFAC lists, sanctions databases, restricted party lists, and applicable watchlists. You represent that you are not a person or entity subject to applicable sanctions, and that your use of the platform does not violate applicable sanctions laws or regulations.

SendGlobe may suspend or terminate access to the platform if it determines, in its sole discretion, that continued access would violate applicable legal requirements, sanctions requirements, or regulatory obligations.

7. Intellectual Property

The platform, including the Commercial Certainty Infrastructure framework, workflow templates, verification logic, and all related software, are the intellectual property of Automation Partners AI LLC or its licensors.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the platform without express written permission.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SENDGLOBE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SendGlobe does not warrant that the platform will be uninterrupted, error-free, or available at all times. SendGlobe does not warrant that Settlement Eligibility determinations will result in any particular outcome within Independent Settlement Infrastructure.

Commercial activity should not depend on a single individual, approval chain, or point of failure. Operational resilience supports continuity and predictable operation, but SendGlobe makes no guarantees of availability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENDGLOBE AND AUTOMATION PARTNERS AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY COMMERCIAL AGREEMENT CONDUCTED THROUGH THE PLATFORM.

SendGlobe is not liable for the actions or omissions of counterparties, Independent Settlement Infrastructure, or third-party service providers. SendGlobe is not liable for any outcome of Settlement Eligibility determinations, including the failure of Independent Settlement Infrastructure to execute settlement.

Sendglobe's total liability to you for any claim arising under these Terms shall not exceed the fees paid by you to SendGlobe in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SendGlobe, Automation Partners AI LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the platform, your breach of these Terms, or your violation of any applicable law or regulation.

This includes claims arising from Commercial Agreements you establish, conditions you define, deliverables you define, and your failure to perform contractual obligations.

11. Termination

SendGlobe may suspend or terminate your access to the platform at any time, with or without notice, for any reason, including breach of these Terms, failure to maintain Commercial Readiness, or determination that continued access poses legal, regulatory, or operational risk.

Upon termination, your right to access the platform ceases. Audit records and Verification Outcomes recorded prior to termination remain on the underlying infrastructure according to applicable retention requirements. Termination does not affect the obligations of counterparties or Independent Settlement Infrastructure with respect to Commercial Agreements established prior to termination.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the platform shall be resolved by binding arbitration administered in accordance with the American Arbitration Association Commercial Arbitration Rules, with proceedings conducted in New York, New York.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Amendments & Contact

SendGlobe may update these Terms at any time. Updated Terms will be posted at sendglobe.app/terms with a revised effective date. Continued use of the platform following notice of updated Terms constitutes acceptance of the updated Terms.
